Terms of Service

1. Acceptance of Terms
By accessing and using the Doruk LLC website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.
2. Services Provided
Doruk LLC provides:
- Commerce integrations and automation consulting
- Custom software development (web and mobile applications)
- E-commerce operations and direct-to-consumer sales management
- Data infrastructure and analytics services
Specific deliverables, timelines, and pricing are outlined in individual project agreements or proposals.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete project information
- Grant necessary access to systems, platforms, and credentials
- Maintain confidentiality of provided credentials and API keys
- Respond promptly to requests for feedback and approval
- Comply with applicable laws and regulations
4. Intellectual Property
Your content: You retain ownership of all content you provide.
Our deliverables: Code, documentation, and customizations created specifically for your project are owned by you upon completion and payment.
Our tools & processes: Our methodologies, frameworks, and pre-built components remain our property and may be reused across projects.
5. Payment Terms
Pricing: Fees are outlined in your project agreement or proposal.
Payment schedule: Payments may be due upfront, in installments, or upon milestone completion as specified.
Late payments: Overdue invoices may accrue interest at 1.5% monthly or the maximum allowed by law, whichever is less.
Refunds: Refunds are not provided for services rendered. Disputes must be raised within 30 days of invoice date.
6. Confidentiality
Both parties agree to maintain confidentiality of:
- Project details and specifications
- API keys, credentials, and access tokens
- Business and financial information shared during engagement
Exceptions: We may disclose information if required by law, court order, or regulatory authority.
7. Limitation of Liability
To the fullest extent permitted by law:
- Our liability is limited to the amount you paid for services in the past 12 months
- We are not liable for indirect, incidental, or consequential damages
- We provide services "as is" without warranties beyond those explicitly stated
8. Warranty Disclaimer
Except as explicitly stated in your service agreement, we provide services on an "as-is" basis. We do not warrant:
- Uninterrupted or error-free service delivery
- Specific business outcomes or revenue results
- Third-party platform availability or API reliability
We make commercially reasonable efforts to deliver quality work, but cannot guarantee results.
9. Termination
By Doruk LLC: We may terminate services if you:
- Violate these Terms or applicable law
- Fail to pay invoices within 30 days
- Request work that is illegal, unethical, or dangerous
By you: You may terminate at any time with written notice. You are responsible for payment of all work completed through the termination date.
10. Indemnification
You agree to indemnify and hold harmless Doruk LLC from any claims arising from:
- Your misuse of deliverables or services
- Your violation of applicable laws
- Your infringement of third-party intellectual property rights
- Content you provide or authorize us to use
11. Security & API Access
When you provide API credentials, platform access, or payment processor details:
- You authorize us to use them solely for the agreed scope of work
- You are responsible for API usage costs and platform fees
- We implement least-privilege access and encrypt credentials
- You must immediately notify us of any security breaches
12. Dispute Resolution
Good faith negotiation: Before pursuing legal action, both parties agree to attempt resolution through good faith discussion.
Governing law: These Terms are governed by the laws of the State of New Mexico.
Jurisdiction: Both parties consent to the jurisdiction of the courts in Bernalillo County, New Mexico.
13. Changes to Terms
We may update these Terms periodically. Changes apply to new projects or service renewals. Continuing to use our services after updates signifies acceptance.
